Key cases/experience – representative matters

Urgent Loan Documentation and Settlement

A borrower faced forfeiting its deposit unless settlement proceeded the following day. Loan documentation was prepared and issued on instruction, with execution coordinated to position the transaction for settlement before the required cut-off.

Multi-Jurisdictional Refinance and Property Acquisition

A complex transaction involved refinancing multiple creditors across three Australian jurisdictions and settling the purchase of an additional property. The matter required accurate coordination of several parties, securities and settlement requirements.

Complex Refinance and Priority Arrangement

A refinance involving three borrowers, seven guarantors, three secured properties and multiple trusts raised a priority issue affecting the lender’s position. A letter of priority was prepared and the transaction settled within the required timeframe.

When a Conflict Isn’t Enough: Refinancing, Borrower Vulnerability and the Limits of Unconscionability
In CPF Group v Everest Index International, the Supreme Court of New South Wales said no. Despite an admitted conflict of interest, the Court upheld a refinancing transaction, rejected claims of unconscionable conduct, and awarded possession in favour of the lender. For lenders, the decision reinforces the importance of a transaction’s purpose, documenting it adequately, and identifying a commercial benefit when putting refinance transactions together.
